Terms of Service

1. These terms

These terms are an agreement between you and Directories.ai Inc. ("Directories.ai", "we", "us") for using the Directories.ai website, dashboard, API and MCP server (the "Service"). If you use the Service for a company or other organization, you agree to them on its behalf and confirm you have authority to do so. If you don't agree, don't use the Service.

Our Privacy Policy explains how we handle personal data and forms part of these terms.

2. What the Service is

Directories.ai is software for building and running directory websites: storing and managing listings, categories, articles and settings, importing business data, sending claim invitations to listed businesses, and connecting AI assistants to do that work. Directory pages may be shown on Directories.ai or on a site you host elsewhere that reads its content from us.

We may change, add or remove features over time.

3. Accounts and access

  • You must give accurate account information and keep your password, API keys and connected sessions secure. You are responsible for everything done with your account and credentials.
  • An AI client you connect (for example Claude or ChatGPT through our MCP server) acts with your organization's credentials. What it does through the Service counts as done by you. Each change it makes is recorded in your directory's activity log.
  • Tell us promptly at support@directories.ai if you think your account or a key has been compromised.
  • You must be at least 18 years old to create an account.

4. Plans, billing and refunds

  • Plans are priced per directory, billed monthly or annually in advance through Stripe, at the prices shown on our pricing page when you subscribe. Plan limits (such as the Starter plan's listing cap) are as described there.
  • Subscriptions renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period and you keep access until then.
  • Refunds: if you are not satisfied within 30 days of your first payment, we will refund it in full. After that, cancelling an annual plan refunds the unused months pro-rata. Monthly payments after the first 30 days are not refunded. Ask at support@directories.ai.
  • Prices exclude taxes, which you pay where they apply. We will notify you by email before a price change applies to your subscription, and you can cancel before it does.
  • If a payment fails we may suspend paid features until it is resolved.

5. Your content

  • You own the content you put into the Service: listings, categories, articles, images, settings and data you import ("Your Content"). We claim no ownership of it.
  • You give us permission to store, copy, process, display and transmit Your Content only as needed to run the Service for you, including sending it to the AI, email, data and hosting providers you choose to connect.
  • You are responsible for Your Content: that it is accurate, that you have the right to use it, and that publishing it is lawful. This includes business information you import from third-party sources.
  • You can export your listings at any time while your account is active, through the API or the dashboard. Export anything you want to keep before your subscription ends; after it ends we may delete Your Content.

6. AI features

  • The Service works with AI models you choose: through an AI client you connect, or with an AI provider key you add. You pay that provider directly under its own terms; we add no AI charges.
  • AI output can be wrong. It can state facts that are not true, including about real businesses. Review AI-written listings, articles, titles, descriptions and structured data before you publish them; you are responsible for what you publish.
  • Listings and articles created by AI tools or imports are saved as drafts unless you or your assistant choose another status.
  • Our tools and playbooks instruct AI assistants not to invent facts, reviews, quotes, authors or credentials, but we cannot guarantee any AI model follows those instructions.

7. Connected services and business data

  • You may connect services we don't control: AI providers, business data providers (such as Apify, Outscraper or the Google Places API), an email sending provider, GitHub, your own database and analytics. Each is governed by its own terms, which you agree to follow, and any fees it charges are yours.
  • Paid data imports run on your own provider key. The estimate shown before a paid import starts is approximate; the provider's actual charges may differ.
  • Data imports read from a database you connect. We write to it only through the publish-to-database feature, only if you have allowed it for that connection, and only new rows after you approve a preview.
  • Changes to a site's code are proposed as pull requests on a repository you link. Nothing is merged or deployed by us; reviewing, merging and deploying is up to you.
  • We are not responsible for third-party services, their availability, their data or their charges.

8. Email to listed businesses

  • Claim invitations and follow-ups are sent on your behalf, from your directory, to the businesses you choose. You are the sender and are responsible for complying with anti-spam and privacy laws (such as CAN-SPAM, CASL and GDPR) that apply to you and the recipients.
  • You must give a valid postal mailing address before sending. Each email includes that address and an unsubscribe link, an address that unsubscribes is not sent further claim invitations from your directory, and the same step of a sequence is not sent to a listing twice.
  • Use claim invitations only for businesses actually listed in your directory, and say truthfully who you are and why you are writing.

9. Acceptable use

You agree not to use the Service to:

  • publish content that is illegal, infringing, defamatory, harassing or deceptive, or that you have no right to publish;
  • create fake or fabricated listings, reviews, ratings, endorsements, authors or credentials, or impersonate a business or person;
  • mass-produce pages with little value to visitors or otherwise try to manipulate search engines, including selling or exchanging links without marking them as paid (rel="sponsored"), in breach of search engines' published spam policies;
  • send spam or email people who have not been listed in your directory or who have unsubscribed;
  • collect data in breach of a source's terms or the law, or process personal data without a lawful basis;
  • probe, overload or bypass the security, rate limits or access controls of the Service, or access another organization's data;
  • upload malware, or use the Service to attack or harm any system or person.

10. Listed businesses

Businesses can claim their listing where the directory offers it. If a business asks you to correct or remove its listing, or tells you its information is wrong, you agree to deal with the request promptly. Anyone can report content on a page we host to support@directories.ai, and we may remove or disable content that breaks these terms or the law.

11. Search engines and results

We do not guarantee any search ranking, traffic, AI citation, leads, revenue or other result. Google and other search and AI services decide independently what to show. Our SEO guidance follows their published rules, and they can change those rules at any time.

On pages we host, links from a featured listing to the business's website carry rel="sponsored" and links from a claimed listing carry rel="ugc". Our API provides the same attribute for sites hosted elsewhere; how those sites render links is up to their owners.

12. Suspension and termination

You can stop using the Service and cancel at any time. We may suspend or end your access if you materially breach these terms, if your use creates a security or legal risk, or if required by law. Where reasonable we will tell you first and give you a chance to fix the problem and export Your Content. Sections 5 (ownership), 13, 14, 15 and 17 continue after termination.

13. Disclaimers

We work to keep the Service available, secure and correct, but it is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Service, AI output or imported data will be uninterrupted, error-free or accurate.

14. Limitation of liability

To the extent the law allows, Directories.ai is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.

15. Indemnity

You agree to defend and compensate Directories.ai against third-party claims arising from Your Content, emails sent from your directory, or your breach of these terms or the law.

16. Changes to these terms

We may update these terms. We will post the new version here with a new date, and tell you by email or in the dashboard before material changes take effect. If you keep using the Service after they take effect, the updated terms apply; if you don't agree, you can cancel under section 4.

17. Governing law

These terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-law rules, and disputes will be heard in the state or federal courts located in Tennessee, except where the law of your country of residence requires otherwise.
